Terms of Service

1.Acceptance of these terms

By creating an account, signing in or using any part of SmartHR MLM Suite (the Service), you agree to these Terms of Service. If you use the Service for a company or team, you confirm that you may bind that organization to these terms.

These terms work together with our Privacy Policy and our Security overview. If you do not agree to them, do not use the Service.

2.Accounts and eligibility

To hold an account you must be at least 18 years old, able to enter a binding contract and not barred from using the Service under the law of your country. Each person may hold one member account.

• Give accurate details when you register and keep them current, including your email address and payout details.
• Keep your password and your two-factor device to yourself. You are responsible for everything done through your account.
• Tell us at once at security@smarthr-mlm.com if you think someone else has access to it.
• Complete identity (KYC) checks when we ask. We may hold payouts until the checks are done.

3.Membership and commissions

Joining the network means buying a membership package (Starter, Silver, Gold or Platinum) or being sponsored into one. Each package sets the commission levels, bonuses and tools you can use. Package prices and rules are shown in your back office before you pay.

Commissions are earned on qualifying sales of products and packages made inside the network, as described in the compensation plan. We do not pay commission for recruiting alone, and joining is never a guarantee of income.

• Commissions are calculated by the platform each week and become payable once the refund and cooling-off period for the underlying sale has ended.
• Sales that are refunded, charged back or found to be fraudulent are reversed, together with the commission and bonuses they produced.
• We may change the compensation plan, ranks or package benefits. Changes apply to future sales only, and we tell members at least 30 days ahead.

4.Payouts and taxes

You can request a withdrawal from your commission wallet once your identity is verified and your balance has cleared. Withdrawals are reviewed by our finance team and sent in the next payout run to the bank account or wallet you have confirmed.

• A transfer fee may apply to some payout methods. It is shown before you confirm the request.
• We may hold, delay or refuse a payout while we investigate fraud, a chargeback, a sanctions match or a breach of these terms.
• You are responsible for the income tax and other taxes on what you earn. We collect the tax forms the law requires and withhold tax where we must.
• Amounts are calculated and paid in US dollars. Your bank or wallet provider may charge currency conversion fees.

5.Acceptable use

Use the Service lawfully and fairly. You must not:

• create fake or duplicate accounts, or place members in the network to collect commission you did not earn;
• buy, sell or share accounts, referral links or login details;
• upload malware, scrape the Service, probe it for weaknesses without permission or overload it;
• send spam or use the contact details of other members for anything except the work of the network;
• harass other people, or upload content that is unlawful, defamatory or infringes the rights of others.

We may suspend or limit an account while we look into a suspected breach.

6.Marketing and income claims

When you promote SmartHR MLM or its products, be honest. Never promise or imply guaranteed earnings, a fixed income or quick wealth. Typical results vary widely and most members earn modest amounts, especially in their first year.

• Only share earnings figures that are real, are your own and are put in context, for example with the published income disclosure.
• Do not describe the membership fee as an investment or the network as a way to get rich.
• Follow advertising, consumer protection and anti-spam law in every country where you promote.
• Use only the approved brand materials in the Marketing Materials library when you speak for the company.

7.Intellectual property

The Service, its software, designs, trademarks and training material belong to SmartHR MLM Management Ltd or its licensors. While your account is active we give you a limited, personal, non-transferable right to use them for your work in the network.

You keep the rights to content you upload, such as your photo or messages. You give us a licence to host, copy and display it only as far as needed to run the Service for you and your network.

8.Termination

You can close your account at any time from your account settings or by writing to us. Closing it does not cancel what you already owe, and any commission that has cleared and passed our checks will still be paid out.

We may suspend or end your account if you break these terms, if the law requires it, or if you have been inactive for more than 24 months. Where we can, we tell you why and give you a chance to respond first. Sections that by their nature should survive, such as payouts reversal, liability and governing law, continue after termination.

9.Disclaimers

The Service is provided as is and as available. We work hard to keep it accurate and online but we do not promise that it will be uninterrupted or error-free, or that any particular volume of sales or level of income will result from using it.

Nothing in the Service is financial, legal or tax advice. Talk to a qualified adviser before you make decisions that depend on any of those.

10.Limitation of liability

To the fullest extent the law allows, SmartHR MLM Management Ltd is not liable for indirect or consequential loss, lost profits, lost commissions that were never earned, or loss of data that you could have backed up. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and $100.

Nothing in these terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence. Your local consumer rights are not affected.

11.Governing law

These terms are governed by the laws of England and Wales. Courts in London have exclusive jurisdiction over any dispute, except that consumers may also bring a claim in the courts of the country where they live. Before you start a claim, please write to us so we can try to settle it informally within 30 days.
